Terms of service

These terms apply to the use of Oxelis, the LinkedIn studio with AI envoy from Oxelis. By creating an account or using the Service you agree to them. Take your time reading them; we wrote them as plainly as we could.

1.Definitions

In these terms we mean by:

  • Oxelis or we: Oxelis, [legal form, address, company number and VAT number to be filled in], provider of the Service.
  • Service: the Oxelis web application, including the API, the accompanying skills and integrations, and the documentation.
  • Customer or you: the organization that creates an account, and everyone who uses the Service on behalf of that organization.
  • Organization: the workspace within the Service in which a customer manages its members, LinkedIn connections, content and prospect data.
  • Member: a user who is part of an organization, with the role of owner, admin or member.
  • AI envoy: the automated assistant that sends LinkedIn invitations and messages and holds conversations on behalf of a member, within the settings the customer decides.
  • Prospect data: data about third parties that the customer enters, imports or gathers through the Service in order to approach those people.
  • Subscription: the chosen plan with its interval and its price.

2.Service and fair use

Oxelis consists of two parts. The content studio helps you think up, write, schedule and publish LinkedIn posts, with a weekly AI briefing and analytics. The AI envoy runs your outreach: it finds prospects, sends invitations and messages and qualifies conversations up to a meeting, always within the room you set yourself.

Every plan includes a monthly fair use budget for AI processing, expressed in AI cost: Solo $40, Team $120, Bureau $200. Above that budget Oxelis pauses briefings, brainstorming, writing help and searches until the next month; replies from the AI envoy to incoming messages and the qualification of conversations keep running up to three times the budget. The number of LinkedIn accounts you can connect for outreach depends on your plan: Solo 1, Team 3, Bureau 5. To protect those accounts the AI envoy works with daily caps on invitations and messages. Every newly connected account also has a two-week warm-up period with lower caps that rise gradually. These limits are part of the Service and you cannot switch them off.

We may adjust the limits if LinkedIn changes its rules or if the behavior of an account calls for it. In case of structural use outside the fair use rules we contact you first.

3.Account and team

You create an account with a valid email address or through Google and set up an organization. The owner manages the subscription and can delete the organization or transfer ownership. Admins manage members, agents, API keys, webhooks and integrations. Members use the content studio and the outreach, but change nothing about team, billing or connections.

You are responsible for everything that happens under your account and within your organization. Keep your login details, API keys and webhook secrets secret, choose a strong password and tell us right away at support@oxelis.be if you suspect that someone has unauthorized access.

Whoever connects a LinkedIn account declares that they are authorized to do so. The connection stays with the member; the content and prospect data created with it belong to the organization.

You have to be at least 18 years old and use the Service for business purposes.

4.Trial and payment

Every new organization gets 7 days of free access, without a payment card. If you do not choose a plan within that period, the organization becomes readable but no longer editable; your data is kept for 90 days (see Termination).

The plans and prices: Solo € 125 per month, Team € 315 per month, Bureau € 495 per month, each excluding VAT. If you pay per quarter you get 10 % off; per year 20 %. The current prices and what each plan contains are on the pricing page.

You pay in advance per month, quarter or year through our payment partner Stripe. VAT is calculated based on your country of establishment and VAT number. You receive invoices by email and through the customer portal.

The subscription renews automatically for the same period, unless you cancel it before the end of the current period. You cancel through Billing in the app; the subscription then keeps running until the end of the paid period. We do not refund current periods, not even in part.

If a payment fails, we try again and let you know. If payment stays out, we may limit access until it is settled.

We announce price changes by email at least 30 days in advance. They apply from the first renewal after that term. If you do not agree, you can cancel as of the end of the current period.

5.Acceptable use

You use Oxelis to make genuine and relevant contact with people you have something to offer. In doing so you respect the LinkedIn User Agreement and the policies that go with it.

LinkedIn can restrict or close accounts that use automation. You acknowledge that risk and carry it yourself: Oxelis is not liable for restrictions, warnings or closure of your LinkedIn account. Our limits and warm-up period reduce that risk, but do not rule it out.

Specifically, you may not:

  • send spam, or send misleading, intrusive or unsolicited messages in bulk;
  • breach the LinkedIn User Agreement or use the Service to work around it;
  • scrape profiles or other data outside the features the Service offers for that, or resell data from the Service;
  • create or spread unlawful, defamatory, discriminatory or infringing content;
  • pose as anyone other than the person the connected LinkedIn account belongs to;
  • reverse engineer the Service, overload it or test its security without our written permission.

6.Data and confidentiality

For the prospect data and conversations you process through Oxelis you are the controller and we are the processor: we process that data only on your instructions, to deliver the Service. You take care of a valid legal basis to approach those people and of complying with the GDPR and the rules around electronic communication.

On request at support@oxelis.be we enter into a data processing agreement with you. Which subprocessors we use, how long we keep data and how we secure it is set out in our privacy policy.

We treat your content, prospect data, conversations and settings as confidential. We only look into them when that is needed for support on your request, for security or because the law requires it. We do not use your data to train AI models and we do not sell it.

You remain the owner of the content you create and of your prospect data. You give us the right to process it for as long as that is needed to deliver the Service.

7.Availability and maintenance

We do our best to keep Oxelis available day and night, but we do not guarantee uninterrupted operation. Where possible we schedule maintenance outside office hours and announce it in advance if you would notice anything.

Oxelis relies on third-party services, in particular LinkedIn, and on the connections they allow. Changes at those parties can make features temporarily or permanently impossible; that does not give a right to a refund.

Report outages at support@oxelis.be. Support runs by email, on working days.

8.Liability

Our total liability towards you, on whatever basis, is limited to the amount you paid in subscription fees in the twelve months before the damage occurred.

We are not liable for indirect damage, such as lost profit or revenue, loss of customers or goodwill, reputational damage, loss of data you could have exported yourself, or damage from restrictions that LinkedIn or another third party imposes on you.

These limitations do not apply in case of intent or gross negligence on our side, or where the law does not allow them.

You indemnify us against third-party claims arising from your use of the Service in breach of these terms, in particular from the way you approach prospects.

9.Termination

You can cancel at any moment through Billing; the subscription then stops at the end of the current period. The owner can also delete the organization right away through Settings; we then end the subscription and the LinkedIn connections immediately.

We may suspend your access or end the subscription if you breach these terms, if your payment stays out, or if your use endangers the Service or other customers. In case of a serious breach we do that without notice; otherwise we tell you first and you get the chance to put it right.

After the end of your subscription your organization stays readable for 90 days and you can export all your data as JSON through Settings → Account. After that we delete the organization and all its data, except what we have to keep longer by law, such as invoices.

10.Changes

We may adjust these terms, for instance because the Service or the law changes. We announce far-reaching changes at least 30 days in advance by email to the owner of your organization. If you keep using the Service after that term, you accept the new terms; if you do not agree, you can cancel as of the end of the current period.

Small clarifications or corrections that do not affect your rights we make without notice. The date at the top always shows the latest version.

11.Governing law

Belgian law applies to these terms. Disputes we cannot settle between us are brought before the competent courts of [judicial district to be filled in, e.g. Ghent].

If a provision of these terms is invalid, the other provisions remain in force and we replace the invalid provision with a valid one that comes as close as possible to its purpose.
